Last Friday, February 27, BH Compliance hosted its first Fireside Chat — a strategic conversation designed to analyze Proxy Season 2026 and better understand how investors are really voting and what boards may be overlooking.

During the session, our CEO, Susana Sierra, interviewed Gabriel Hasson, a global corporate governance expert and advisor to institutional investors, who currently serves as Head of Global Governance Advisory at ICR and as an Advisory Board Member at BH Compliance.

Hasson shared in-depth insights on the evolution of Proxy Season and the new regulatory landscape. The conversation explored what Proxy Season truly is and why it has become a critical moment for public companies, how institutional investor engagement dynamics have shifted, the impact of new regulatory interpretations in the U.S. on activism, disclosure, and ESG, and the growing complexity of anticipating voting outcomes in an environment shaped by increasingly diverse investor policies.

A central takeaway was that governance can no longer be understood as an annual exercise tied solely to voting season. It now requires an ongoing strategy of engagement, risk anticipation, and alignment with evolving investor expectations.

This first Fireside Chat marks the beginning of a series of conversations led by BH Compliance to strengthen the dialogue around corporate governance, transparency, and sustainable value creation.
